1. Who this agreement is with
BanaTicket ("BanaTicket", "we", "us") is a ticketing platform operated by [LEGAL ENTITY NAME], a company registered in Kenya under registration number [REGISTRATION NUMBER], KRA PIN [KRA PIN], with its registered address at [PHYSICAL / REGISTERED ADDRESS]. These Terms apply whenever you browse banatickets.com, create an account, list an Event as an Organizer, or buy a ticket as a Buyer. Using the platform in any of these ways means you agree to them.
2. Definitions
- Platform — the BanaTicket website, apps, and the underlying booking and scanning systems.
- Organizer — the person or business that creates an Event and sells tickets to it through the Platform.
- Buyer — anyone who purchases a ticket through the Platform.
- Event — the concert, show, or gathering an Organizer lists for sale.
- Ticket — the unique code and QR issued to a Buyer on payment, which is the credential checked at the gate.
3. What BanaTicket is — and isn't
BanaTicket is a marketplace and payment facilitator. We provide the tools an Organizer uses to list an Event, sell tickets, take payment by M-Pesa, and check people in at the door. We are not the organizer of any Event listed on the Platform, we do not promote or run the Event itself, and we are not a party to the relationship between an Organizer and a Buyer beyond processing the ticket sale. The Organizer is solely responsible for the Event actually happening as described — the venue, the lineup, the timing, permits, and safety on the ground.
4. Accounts and verification
Organizer accounts go through a verification step before they can publish a paid Event and start collecting money — this exists to keep the Platform trustworthy for Buyers, not to endorse any particular Organizer's Event. You're responsible for keeping your account credentials secure and for everything that happens under your account. 5. Buying a ticket
When you buy a ticket, you pay by M-Pesa via an STK push to the phone number you provide. Once payment is confirmed, your ticket — a unique code and QR — is sent to that phone number by SMS, and to your email if you gave one. That code is your ticket: forwarding a screenshot to someone else lets them use it in your place, and each code only scans successfully once. Check the Event details (date, time, venue) carefully before paying — BanaTicket cannot undo a purchase because you misread them.
6. Prices, fees, and payouts
Organizers set their own ticket prices. BanaTicket deducts a platform fee of 5% of the ticket price from each sale; the remaining 95% is what the Organizer is paid out. Prices shown to Buyers are inclusive of this fee — there is no separate "booking fee" added at checkout. Organizers are responsible for any tax that applies to their own income from ticket sales, including VAT registration if their turnover requires it under Kenyan law.
7. Refunds, cancellations, and postponements
Except as set out below, tickets are non-refundable and non-exchangeable once paid for — this reflects that the Organizer has already committed to venue, artist, and production costs based on tickets sold.
- If an Organizer cancels an Event, or changes its date or venue in a way you can't make, the Organizer is responsible for refunding affected Buyers. BanaTicket can help identify who bought tickets to that Event, but the refund itself is processed by the Organizer, typically by M-Pesa reversal to the number used at checkout.
- If you believe a charge was made in error or without your authorization, contact us at [SUPPORT EMAIL] as soon as possible.
- BanaTicket's own 5% platform fee is not refunded to the Organizer where a Buyer refund is issued for reasons outside BanaTicket's control (e.g. the Organizer cancelling the show).
8. Organizer responsibilities
If you list an Event, you confirm that everything you post — description, flyer, dates, venue, pricing — is accurate and that you have the right to sell tickets to it, including any licenses, permits, or rights clearances the Event itself requires. You are responsible for delivering the Event as advertised, for the safety of attendees at your venue, and for your own compliance with Kenyan law, including tax obligations on your proceeds.
9. Things you may not do
- Use stolen payment details or attempt to defraud a Buyer, Organizer, or BanaTicket.
- Resell tickets at an inflated price without the Organizer's permission, or operate a scalping operation through the Platform.
- Attempt to forge, duplicate, or tamper with a ticket code or QR, or interfere with the gate-scanning system.
- Upload content you don't have the rights to, or that is unlawful, defamatory, or infringing.
- Attempt to reverse-engineer, scrape, or disrupt the Platform.
10. Suspension and termination
We may suspend or remove an Event, or suspend an account, where we reasonably believe these Terms are being broken, where an Organizer's account is under review, or where required by law. Where tickets have already been sold to a suspended Event, we'll work with the Organizer on how affected Buyers are made whole where reasonably possible.
11. Disclaimers and limitation of liability
The Platform is provided on an "as is" basis. We work to keep it available and accurate, but we don't guarantee uninterrupted access, and we are not liable for losses arising from an Event being cancelled, changed, or run poorly by an Organizer, for M-Pesa or network outages outside our control, or for indirect or consequential losses. To the extent permitted by Kenyan law, our total liability to you for any claim arising from use of the Platform is limited to the amount you paid for the ticket(s) or, for Organizers, the fees you paid us in the three months before the claim.
12. Indemnity
You agree to cover us for any loss, claim, or cost we reasonably incur because you broke these Terms, misused the Platform, or (for Organizers) because your Event caused harm or broke the law.
13. Governing law
These Terms are governed by the laws of the Republic of Kenya. Any dispute that can't be resolved directly will be subject to the exclusive jurisdiction of the Kenyan courts.
14. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we'll update the date at the top of this page. Continuing to use the Platform after a change means you accept the new Terms.
